What this document covers, and what it does not

These terms govern the purchase of the service: which plan you buy, what you pay, how it renews and how it is cancelled.

Use of the application is governed by separate documents: the AutoSoft Web Terms of Service (https://autosoftweb.app/legal/terms), covering what you may do inside the service and the content you upload, and the Privacy Policy (https://autosoftweb.app/legal/privacy), covering what happens to the data.

By using the application you also accept those. We recommend reading them: they cover matters this document does not, in particular your responsibility for the photographs and customer data you enter into the system.

Who you are contracting with

By subscribing to AutoSoft Web you enter into an agreement with Santa Rita Investments Inc., located at 17940 43rd Road N., Loxahatchee, FL 33470, USA.

The service

AutoSoft Web is a subscription cloud app. Nothing is installed and no copy of the program is delivered to you: you are given access for as long as the subscription is current.

The desktop version is a separate product with its own terms. Nothing here affects it.

Your account

You are responsible for your account credentials and for those of the users you create in your shop. Each credential belongs to one person.

Your plan determines how many users you can have active at once.

Pricing, billing and trial

Prices are those published when you subscribe, in US dollars, with applicable taxes added according to your jurisdiction.

The subscription renews automatically at the end of each period until you cancel. A trial, where offered, becomes a paid subscription when it ends unless you cancel first.

You are billed whether or not you use the service, and whether or not you finished setting your shop up. There is no refund for not having used it.

Trial period

Plans include a 15 calendar-day trial, starting at the time of payment.

The trial is one per customer, not one per subscription. If you have already used a trial — with this or any other account, even if you later cancelled it — subsequent purchases are billed from day one.

During the trial you may cancel at no cost from your panel. If you do not cancel, the first period is charged automatically when the 15 days end.

The clock runs from payment, not from the moment you create your shop. We will remind you before it ends.

Non-payment and suspension

If a charge is declined we email you straight away, with a link to pay the outstanding invoice.

You can keep using the application for the next 24 hours. If the payment has still not gone through by then, access to the application is suspended. Neither you nor your team can sign in until it is settled.

Your data is not deleted while you are suspended. Your subscription is not cancelled, no deletion is scheduled and nothing is destroyed on this account: the only thing that closes is the door into the application.

As soon as that invoice is paid, access is restored automatically and we confirm it by email. You do not have to ask.

While suspended you can still sign in to your store account to settle up: that door is deliberately left open.

A suspension for non-payment does not expire on its own. If the invoice is never paid, access stays closed until it is paid or until the subscription is cancelled — and in that case what is set out under "Cancellation and deletion" applies.

Cancellation and deletion

You can cancel at any time. You keep access until the end of the period already paid for and you are not charged again.

After that, your shop stays recoverable for 7 days. Once that window closes it is permanently purged. Export whatever you need before then.

Any add-ons purchased from inside the application — SMS messaging, AI assistant — are ended when the period already paid for on each of them runs out, and you are not charged for them again. Bringing your shop back later does not restore them: they have to be purchased afresh.

Your data is yours

What you enter remains yours. We only process it to provide the service.

You confirm you have the right to process your customers' data and to inform them as required.

Acceptable use

You may not use the service for unlawful activity, attempt to reach other shops' data, or send messages to people who have not agreed to receive them.

The messaging channel requires the recipient's prior consent and compliance with carrier rules. Misuse can result in the channel being suspended.

If we detect abuse or misuse of the application, we may temporarily restrict access. If that happens we will tell you why and how to resolve it. A restriction on this ground does not delete your data, and we lift it once the matter is settled.

Availability

We work to keep the service continuously available but do not guarantee uninterrupted uptime. Maintenance is scheduled for low-impact windows and announced when it can be foreseen.

Liability

The service is provided as is. To the extent the law allows, our total liability is limited to the greater of the amount you paid in the twelve months before the event giving rise to it, or one hundred US dollars.

We are not liable for lost profits or indirect damages.

Changes to the service and these terms

We may change the service and these terms. If a change materially affects you we will tell you before it takes effect, and you may cancel.

Governing law

This agreement is governed by the law of Florida, Estados Unidos, and the parties submit to the courts of Palm Beach County, Florida.

For customers in the United States and Canada, disputes are resolved through the binding individual arbitration described in the AutoSoft Web Terms of Service (https://autosoftweb.app/legal/terms), which includes a class action waiver and a 30-day opt-out right.

For customers in Spain and the European Union no mandatory arbitration applies; the competent courts are those of the customer's domicile where mandatory law so requires, and otherwise those of Madrid.

Where your country of residence grants you rights that cannot be excluded by contract, those rights still apply.
